ALL PET CARD, LLC TERMS & CONDITIONS

These terms and conditions create a contract (the “Agreement) between All Pet Card, LLC, and its affiliates (“APC), and the Service Providers (“Provider” or “Providers) who, by registering, are agreeing to participate in the financing program offered by APC to access credit services provided by third parties. This Agreement outlines the terms and conditions governing the relationship between APC and Provider. Submission of this registration form means you understand and accept all terms and conditions of this Agreement. 

1. Services Provided 

Provider is engaged in the business of providing veterinary and/or pet care services and goods to pet owners, and APC is engaged in the business of providing credit services, through third parties, for such services. APC and Provider agree to work together to offer financing options to pet owners, or individuals willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, who receive services and goods from Provider.

2. Liability 

APC shall not be liable for any acts, omissions, or negligence by Provider or any of its employees, agents, contractors, subcontractors, and their respective successors, including any errors or omissions in providing the services or goods to pet owners. Provider assumes all responsibility and liability for the quality, safety, and legality of the services and goods provided to pet owners, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, and for any and all claims, damages, or losses arising from the services and goods provided by Provider. 

Furthermore, APC shall not be responsible or liable for any fraudulent or negligent acts committed by Provider in connection with credit services offered by APC, including any misrepresentations or omissions made by Provider to pet owners, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, by any of its employees, agents, or contractors, subcontractors, and their respective successors. 

3. Indemnification 

Provider shall indemnify, defend, and hold harmless APC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and reasonable attorneys’ fees arising out of or related to Provider’s provision of services or goods to pet owners, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, or any acts or omissions by Provider or its employees, agents, or contractors, subcontractors, and their respective successors including any claims of negligence, malpractice, or fraud.

4. Use of Services, Payments, and Refunds

Upon Provider registration approval by APC, Provider can access credit services for pet owners, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, who receive services and goods from Provider. Under this Agreement, Provider agrees:

  • All employees, agents, contractors, subcontractors, and their respective successors will participate in a training session offered by APC before offering or accessing credit services for pet owners, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, who receive goods or services from Provider. 
  • Purchases made using credit services will not be made more than thirty days before services, or goods have been rendered, and purchases will be refunded if the Provider cannot render services or goods within thirty days.
  • Provider agrees to offer at least one promotional payment plan to pet owners, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, who receive services and goods from Provider.
  • In the event of a dispute or complaint to APC or its third parties regarding credit services, by a pet owner, or individual(s) willing to accept payment responsibility for services and goods rendered on behalf of a pet owner, Provider will provide signed receipts and a copy of refund or cancelation policies, if requested, within the specified time frame to APC and/or third party providing credit services. 

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri without giving effect to its conflict of laws provisions.

Any dispute or claim arising out of or in connection with this agreement or its breach, termination, or validity shall be settled by arbitration in accordance with the rules of American Arbitration Association (“AAA”) in the state of Missouri. The arbitration shall be conducted by a single arbitrator, and the award rendered by the arbitrator(s) shall be final and binding upon the parties. The parties agree to keep confidential all information related to the arbitration, and to bear their own costs and expenses, including attorneys’ fees, in connection with the arbitration. This arbitration clause shall survive termination of this agreement and shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. 

6. Entire Agreement

This Agreement constitutes the entire Agreement between APC and Provider and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Agreement. 

7. Amendments and Modifications

APC may modify these terms and conditions, and if modified, Provider will be notified of any material changes via email and post. Updated terms will be effective thirty days after APC provides email notification to Provider. Continued use of credit services after the effective date will serve as Provider acceptance of modified terms and conditions.
